Terms of Use

Please read these Terms of Use carefully before using OpenPress. They contain important information about your legal rights, remedies, and obligations, including an agreement to arbitrate disputes individually and a class action waiver.
1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you and Bridgepointe Inc., a New Jersey corporation doing business as OpenPress ("Bridgepointe," "we," "our," or "us"), governing your access to and use of the OpenPress platform and all related services, features, and content (collectively, the "Service") available at openpress.media.
By creating an account, accessing, or using the Service in any manner, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not access or use the Service.
2. Description of the Service
OpenPress is a structured public accountability platform that allows registered users to file grievances ("Issues") against companies, institutions, governmental bodies, and other organizations ("Targets"), solicit validation from other verified users, build measurable public pressure through a scoring system ("Pulse Engine"), and trigger formal written accountability notices ("Escalation Notices") to named Targets upon reaching defined thresholds.
The Service is a communication and coordination tool. Bridgepointe does not represent any user in a legal capacity, does not provide legal advice, and does not guarantee any outcome — financial, legal, or otherwise — as a result of using the Service. OpenPress is not a law firm, collection agency, regulatory body, or dispute resolution service.
3. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. User Accounts
Registration
You must create an account to file Issues, validate Issues, stake tokens, or access authenticated features. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
Account security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at info@openpress.media if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account.
Identity verification
Certain trust tiers — and certain platform actions, including staking and escalation eligibility — require identity verification via phone number (SMS OTP) or government-issued ID. You agree that information provided during verification will be processed as described in our Privacy Policy. Providing false identity information is a material breach of these Terms and may constitute fraud under applicable law.
One account per person
You may not create or operate multiple accounts. Creating duplicate accounts to circumvent trust tier requirements, suspension, or platform limits is strictly prohibited.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- File an Issue that is false, fabricated, or materially misleading in its description of facts or claimed harms.
- File an Issue against a private individual who is not acting in a business or institutional capacity.
- Use the Service to harass, threaten, intimidate, defame, or stalk any person or organization.
- Use the Service for extortion, blackmail, or any demand for payment in exchange for not filing or escalating an Issue.
- Coordinate with others to artificially inflate Pulse scores, validation counts, or support counts through inauthentic activity (including bots, fake accounts, or paid rings).
- Attempt to gain unauthorized access to any portion of the Service or its underlying systems.
- Use automated scripts, bots, scrapers, or crawlers to access the Service without our express written permission.
- Upload or transmit malicious code, viruses, or any content designed to disrupt, damage, or interfere with the Service.
- Reverse engineer, decompile, or attempt to extract source code from the Service.
- Use the Service in any manner that violates applicable federal, state, or local law.
- Impersonate any person or entity or falsely claim an affiliation with any person or entity.
- Violate any third party's intellectual property, privacy, or other rights.
We reserve the right — but are not obligated — to monitor the Service for violations and to remove content or suspend accounts that we determine, in our sole discretion, to be in violation of these Terms or otherwise harmful.
6. User Content
Your content, your responsibility
You are solely responsible for all text, documents, images, and other materials you submit to the Service ("User Content"). By submitting User Content, you represent and warrant that: (a) you own or have the right to submit the content; (b) the content does not infringe any third party's rights; and (c) the factual assertions in the content are accurate and made in good faith.
License to Bridgepointe
By submitting User Content, you grant Bridgepointe a non-exclusive, royalty-free, worldwide license to use, store, display, reproduce, and distribute your User Content solely to the extent necessary to operate and provide the Service — including, critically, to deliver Escalation Notices and maintain the public accountability record of the platform.
Public nature of Issue content
Issue titles, descriptions, categories, and scores are publicly visible. Do not include in your Issue description any information you do not wish to be publicly disclosed, including your home address, Social Security number, or banking credentials. Redact sensitive personal information from supporting documents before uploading.
Truthfulness requirement
Filing a materially false Issue with the purpose of damaging a Target's reputation may expose you to civil liability for defamation and may constitute tortious interference. Bridgepointe may cooperate with law enforcement or civil legal processes in connection with false filings.
7. Stakes, Wallet, and Platform Credits
Nature of stakes
The staking system allows users to attach monetary stakes to Issues as a credibility mechanism. Stakes are not investments, securities, or deposits in a financial institution. They are platform transaction fees that signal commitment and may be returned, forfeited, or redistributed according to platform rules published on the Service.
No guaranteed returns
Staking does not guarantee any financial return, settlement, or outcome. The resolution of an Issue — including whether any monetary relief is obtained from a Target — is entirely outside Bridgepointe's control and is not a function of the platform.
Wallet terms
Wallet balances represent credits on the OpenPress platform. Bridgepointe reserves the right to adjust, freeze, or forfeit wallet balances associated with accounts found to be in violation of these Terms. All payments are processed through our third-party payment processor and are subject to that processor's terms.
No refunds for violated Terms
If your account is suspended or terminated for a violation of these Terms, you forfeit any remaining wallet balance. Refunds for other circumstances are handled at our discretion on a case-by-case basis.
8. Escalation Notices
When an Issue reaches the escalation threshold as defined by the Pulse Engine, Bridgepointe may send a formal written notice to the named Target. These notices are communications, not legal process. They are not subpoenas, demand letters from counsel, or regulatory enforcement actions.
You acknowledge and agree that:
- You authorize Bridgepointe to send an Escalation Notice on your behalf and on behalf of all supporting users when an Issue reaches the threshold.
- Bridgepointe will include aggregated, anonymized participant counts in Escalation Notices. Individual user identities are not disclosed to Targets without consent.
- Bridgepointe makes no representation about how Targets will respond to Escalation Notices.
- Filing a false Issue that results in an Escalation Notice being sent may constitute tortious conduct for which you, not Bridgepointe, bear legal responsibility.
9. Intellectual Property
The Service, including its design, code, trademarks, logos, and platform-generated content (such as Pulse scores and issue metrics), is the property of Bridgepointe Inc. and is protected by copyright, trademark, and other intellectual property law. You may not use, copy, or distribute any portion of the Service without our express written permission, except as expressly authorized in these Terms.
The OpenPress name and logo are trademarks of Bridgepointe Inc. Nothing in these Terms grants you any right to use our trademarks.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BRIDGEPOINTE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
BRIDGEPOINTE DOES NOT WARRANT THAT USING THE SERVICE WILL RESULT IN ANY PARTICULAR OUTCOME, INCLUDING BUT NOT LIMITED TO FINANCIAL RECOVERY, LEGAL REMEDY, OR TARGET RESPONSE. THE SERVICE IS A COMMUNICATION AND COORDINATION PLATFORM ONLY.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BRIDGEPOINTE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF BRIDGEPOINTE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL BRIDGEPOINTE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO BRIDGEPOINTE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of liability for certain damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Bridgepointe Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third party's rights.
13. Termination
We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may terminate your account at any time by contacting us at info@openpress.media.
Upon termination, Sections 6 (User Content license, truthfulness representations), 9 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution) survive.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15. Dispute Resolution & Arbitration
Mandatory arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for claims that qualify for small claims court, you and Bridgepointe agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including questions about the existence, validity, or scope of this arbitration agreement — shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court.
The arbitration shall take place in Middlesex County, New Jersey, or, at your election, via video or telephonic hearing. Each party will be responsible for its own filing fees and costs, except as required by AAA Rules or applicable law.
Class action waiver
YOU AND BRIDGEPOINTE EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of a representative or class proceeding. If this waiver is found unenforceable, the entire arbitration clause is void and disputes shall be litigated in the courts described below.
Exception — injunctive relief
Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction in Middlesex County, New Jersey, to prevent irreparable harm pending arbitration. Seeking such relief is not a waiver of the right to arbitrate.
Judicial forum
For claims excluded from or ineligible for arbitration, or if the arbitration clause is found unenforceable, you and Bridgepointe consent to exclusive jurisdiction in the state and federal courts located in Middlesex County, New Jersey, and waive any objection to venue in those courts.
16. Changes to These Terms
We may update these Terms at any time. When we make material changes, we will post the updated Terms with a new effective date and notify you via email or prominent notice on the Service. Your continued use of the Service after the effective date of any revision constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, discontinue use of the Service.
